Talking Points

Recent interactions between the hosts and their guests.

AIR CEO Stuart Brazier on AIR’s $1.7B SPAC Deal and the Business of Hookah
Q: Why did AIR decide to pursue a SPAC route rather than a traditional IPO or other financing?
AIR valued predictability and a clear path to going public with a well-defined timetable, plus the absence of a dilutive pipe, which aligned with their profitability and need for less capital. Cantor's SPAC franchise offered the right framework and a supportive investor audience.
Inside IQM’s $1.7B Quantum Computing Deal with Real Asset Acquisition Corp.
Q: So clearly Quantum is having a moment in the public markets, but why now is IQM the right time to go public via a SPAC?
IQM was already well capitalized after a large Series B, and public markets offer greater visibility, credibility, and the ability to incentivize talent while providing a platform for long-term customer relationships as the company scales.

Q: And Peter, given all the movement we've seen among the listed comps in the quantum computing space, how did you come to evaluation on IQM and what were some of the metrics you found particularly instructive?
We compared IQM against public peers and highlighted the significant discount at which IQM is going public, given its strong commercial traction and revenue bookings. The valuation approach emphasizes value for shareholders and the strategic alignment with a long-term, trust-based business model.

Q: I also wanted to point out that you were able to announce an expansion of the pipe for this transaction earlier this week. How did that come about and why do you think it's important for the momentum around this deal?
The pipe expansion, now at $146 million, reflects continued demand and institutional support, notably from Nordic pension funds. It signals confidence in IQM's leadership and its long-term growth trajectory, reinforcing momentum for the SPAC deal.

Q: And so I wanted to start with you, Jan, as IQM really seems to have been born out of your post-doctoral and academic work. In the short version of the story, how have you managed to take what you advanced in your studies into the commercial realm through this company?
IQM emerged as a university spin-out aiming to translate lab-scale progress into an industrial, productized quantum computing stack. The approach centers on building their own chip fabrication, assembly lines, and full software stack, enabling a direct feedback loop with educated customers to accelerate product-market fit and ongoing innovation.
