  • Inspiring

I’ve been listening in for the last year, being an aspiring second generation entrepreneur. Episode 1264 hit home for me and knowing how attainable this is with past knowledge and updated ways in opening a space in this day in age. Being from a rural small town here in Texas, all of this info was so informative. Thank you for this space and I continue to be a student to help in our 2nd generation to reopen my parents restaurant.

  • INFECTIOUS

Been listening for a bit and I get inspired by Eric's infectious energy. Chalk full morsels of motivation. With a more succinct interview structure and a reduction of paraphrasing guests statements the impact of this podcast could be even more impactful than it clearly is. Really appreciate your dedication .

Talking Points

Recent interactions between the hosts and their guests.

1285: Kathy Terry on Employee Ownership Trusts: Why P. Terry's Chose Legacy over an Exit
Q: What happens if you and Patrick die tomorrow?
They discuss how the trust structure would handle taxes and transition, with the IRS potentially requiring significant tax payments and a plan to gradually reduce equity exposure to the trust while preserving the business and its culture.
1285: Kathy Terry on Employee Ownership Trusts: Why P. Terry's Chose Legacy over an Exit
Q: Why did you choose an employee ownership trust rather than ESOP?
Kathy describes ESOP as a retirement plan that can drag on cash due to required buybacks and yearly valuations, and notes that an EOT better preserves culture and offers ongoing employee benefits without the same liquidity drain.
1285: Kathy Terry on Employee Ownership Trusts: Why P. Terry's Chose Legacy over an Exit
Q: What is an Employee Ownership Trust and how does it work?
The guest explains that an EOT involves gifting or selling equity to a trust that then owns the equity for employees, with guardrails on leadership and profits distributed as dividends to employees, while maintaining company culture.
1285: Kathy Terry on Employee Ownership Trusts: Why P. Terry's Chose Legacy over an Exit
Q: When did you start looking into employee ownership? When was that on the table for you?
Kathy explains that the consideration began around 2016 when they realized the business had grown with value and they needed succession planning to protect the legacy and to avoid burdens on the company from estate taxes.
1277: Mike Cordero, chef/owner of Cordero Hospitality Group
Q: What's your approach to partnerships today given your Malibu Grill experience?
I avoid equity partnerships; instead I use profit-sharing arrangements with a formal structure and clear exit options, and I rely on family and trusted managers as core leadership.
