EU Inc or Delaware C Corp? Bjol Frenkenberger on the decision that defined his $4.2M seed raise
Q: What are the three most important lessons you'd share with founders going through a fundraising sprint?
First, diversify your investor reach early and tailor your outreach to distinct tiers to improve hit rates. Second, don't underestimate the complexity of legal and stakeholder work, and consider a part-time CFO or legal help to handle the Delaware flip. Third, automate as much fundraising work as possible so you can stay focused on customers and selling, rather than getting bogged down in process.
EU Inc or Delaware C Corp? Bjol Frenkenberger on the decision that defined his $4.2M seed raise
Q: Why did you choose Delaware C Corp over EU Inc, and what were the main hurdles in moving the legal structure?
The decision hinged on the clarity and predictability of Delaware law for a cross-border company with multiple shareholders. EU Inc promised long-term simplifications, but required navigating a heavy, multi-country legal process. The Delaware flip involved extensive stakeholder alignment and managing expectations, which took months and required careful communication and sometimes external counsel.
EU Inc or Delaware C Corp? Bjol Frenkenberger on the decision that defined his $4.2M seed raise
Q: What were the early signs that convinced you this could become a real business, and how did you validate that with customers?
Early validation came from landing a tiny first sale and then converting that momentum through more structured pilots at scale. The focus was on solving tangible problems for decision-makers with simple, usable outputs (an Excel-based forecast) and then proving that the information was valuable enough to justify broader adoption, even before polishing the user interface.
The co-founder breakup that didn't end the company: Allegro Sprute on getting it right
Q: What led to the co-founder breakup, and how did you approach it?
We detected divergent directions within the founding team that were slowing the company down. We managed the breakup professionally, avoiding personal conflict, and aimed to keep investors and the company on a positive trajectory, ultimately choosing to split into two separate paths to preserve both potential outcomes.
Am I a psychopath? How Josiah Senu went from crisis mode to investor pitch in 5 minutes to build Africa’s payment infrastructure
Q: How did the fundraising journey unfold and what was the turning point?
The process started with a near-uncapped round; momentum built as preemptive term sheets arrived, and a pivotal moment came when an investor reconsidered and joined uncapped after witnessing solid progress, underscoring the lack of fixed rules in startup fundraising.
