Talking Points

Recent interactions between the hosts and their guests.

2026 M&A Outlook for the Built Environment
Q: What lessons from recent deals should leaders carry into 2026?
The market remains fragmented yet increasingly consolidated in practice, so independents must decide whether to partner with capital-rich firms or build deep niches to defend independence. Buyers should be aggressive and strategic but maintain rigorous due diligence, focusing on backlog, cultural fit, and succession planning to justify valuations in a competitive market.
2026 M&A Outlook for the Built Environment
Q: What role is private equity playing in the current M&A market for ENC companies today?
Private equity has evolved into a broader capital ecosystem with growth capital, flexible structures, and exits, enabling larger, more capable firms to scale quickly. There's a shift toward consolidators and strategic partnerships, with increased PE investment in data centers, power, and infrastructure services, plus continued exits and ESOP competition.
2026 M&A Outlook for the Built Environment
Q: Following your sequence from earlier, Alex, you mentioned delivery as a driver for activity. What did you mean by that?
Delivery is increasingly about speed to operation and certainty, not just cost. Owners want earlier influence, faster execution, fewer handoffs, and greater integration in delivery. This has driven demand for consultative services, owner reps, CMPM, offsite and prefab capabilities, and a shift toward firms that can offer broader capacity and capabilities to meet accelerated schedules.
Building an Ownership Culture: The Emery Sapp & Sons Growth Story
Q: How do you approach leadership development and succession planning within the ESS framework?
We invest heavily in leaders, running internal programs with FMI, bringing top leaders together for extensive training and relationship-building; succession planning is done five to ten years in advance, with mentors and simulations to prepare the next generation of leaders.
Building an Ownership Culture: The Emery Sapp & Sons Growth Story
Q: What are the key filters you use when evaluating acquisitions or geographic expansion?
The primary filter is management readiness and cultural alignment; if the new entity has strong management and aligns with our performance expectations and culture, it's a fit; we also look for healthy net margins and the ability to absorb the integration without disrupting the core operations.
